1A. 數位產品交付與技術支援 / Digital Delivery & Support（強化條款 / Strengthened Clause）

我們的音樂產品屬數位內容。一般情況下，完成付款後將以下載連結及／或電郵方式交付。請您自行保存下載檔案、下載連結及購買憑證。
Our music products are digital content. After payment, delivery is typically made via download link and/or email. Please keep your files, links, and proof of purchase.

如您在合理時間內未能成功下載，或檔案存在明顯損壞，請聯絡：hello@soulnewenergy.com。我們會在合理範圍內提供重新交付或技術協助。
If you cannot download within a reasonable time, or the file is clearly corrupted, contact hello@soulnewenergy.com. We will provide re-delivery or reasonable technical assistance.

除法律另有規定外，數位內容一經交付及／或下載，即不設退換或退款。
Except where required by law, digital content is non-returnable and non-refundable once delivered and/or downloaded.

2. 知識產權 / Intellectual Property

本網站上所有非音樂產品的內容，包括但不限於文字、圖片、標誌、設計、影片及軟體，其版權均歸我們或我們的授權方所有。

All non-music product content on this Website, including but not limited to text, images, logos, designs, videos, and software, is owned by us or our licensors.

7.3 終止後的效力 / Effect After Termination

服務終止後，您已購買之音樂授權仍然有效（除非您違反授權條款而導致授權被撤銷）。
本條款中關於知識產權、責任限制、賠償及爭議解決之條款在服務終止後仍然有效。

After termination, your purchased music licenses remain valid (unless revoked due to your violation of license terms).
Provisions regarding intellectual property, limitation of liability, indemnification, and dispute resolution survive termination.

7A. 違規處置與救濟措施 / Violations & Remedies（強化條款 / Strengthened Clause）

如我們合理判斷您已違反本條款（包括但不限於：濫用本網站服務、嘗試未經授權存取、以自動化工具抓取／干擾數據、發布侵權或非法內容、盜用／複製本網站內容、以任何方式危害本網站安全或正常運作），我們保留以下權利（不影響我們依法可享有之其他權利）：
If we reasonably determine that you have violated these Terms (including misuse, unauthorized access, automated scraping/interference, posting illegal/infringing content, unauthorized copying, or compromising Website security/operations), we reserve the following rights (without prejudice to any other rights available at law):

  1. 限制存取／暫停或終止服務 / Restrict access, suspend, or terminate
    我們可在不作事先通知的情況下，限制您存取本網站、暫停或終止您使用本網站之全部或部分服務（包括但不限於封鎖帳戶、封鎖 IP、移除內容或限制功能）。
    We may, without prior notice, restrict access, suspend, or terminate all or part of your use (including blocking accounts, blocking IPs, removing content, or limiting features).

  2. 移除內容與下架要求 / Content removal & takedown
    如您所發布或上傳的任何內容違反本條款或涉嫌侵權／違法，我們可自行決定移除、下架或限制顯示該內容，並可要求您於指定期限內刪除相關內容或停止散佈。
    We may remove/take down/limit visibility and require deletion or cessation within a specified timeframe.

  3. 損害賠償與費用追償 / Damages and cost recovery
    您同意就因您違規行為造成之所有損失對我們作出賠償，包括但不限於：商譽損害、合理調查與處理成本、系統修復成本、第三方索償、以及合理律師費與追討費用。
    You agree to compensate all losses arising from your violation, including reputational harm, investigation/handling costs, system recovery costs, third-party claims, and reasonable legal/collection fees.

  4. 採取法律行動與緊急救濟 / Legal action & injunctive relief
    在法律允許範圍內，我們可採取民事追訴、申請禁制令或其他緊急救濟措施，以防止或制止持續性侵權、攻擊或損害行為。
    We may pursue legal actions and seek injunctive/emergency relief to stop ongoing harmful conduct.

  5. 不影響既往權利 / No waiver of accrued rights
    即使我們暫未行使或延遲行使上述任何權利，亦不構成放棄；且不影響我們就既往違規或損害追究責任之權利。
    No delay/failure to enforce is a waiver; rights for past violations remain.

🔗 音樂授權違規之特別處理 / Special Note for Music License Violations
如違規行為涉及音樂產品授權（例如未經授權之企業商業使用、轉售／再授權、上傳串流平台聲稱為自己作品、或將音樂提交／註冊至任何 Content ID 系統），除本條款外，亦將依《授權說明與訂製服務條款》處理，並可能導致授權被撤銷。
If the violation involves music licensing (e.g., unauthorized corporate use, resale/sublicensing, uploading to streaming platforms while claiming ownership, or Content ID submission/registration), it will also be handled under our “License and Custom Service Terms” and may result in license revocation.

8. 不可抗力 / Force Majeure（強化條款 / Strengthened Clause）

對於因超出我們合理控制範圍之原因（包括但不限於天災、戰爭、恐怖主義、政府行為、網絡故障、罷工等）直接或間接導致的任何延遲或未能履行義務，我們不承擔任何責任。

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, government acts, network failures, or strikes.

9. 條款修改 / Modification of Terms

我們保留隨時修改本條款之權利。任何修改將於本網站公佈，並自公佈之日起生效。建議您定期查看本頁，以了解最新版本。
您於條款修改後繼續使用本網站，即表示您接受修改後條款。

We reserve the right to modify these Terms at any time. Changes will be posted on the Website and become effective upon posting. Continued use after changes constitutes acceptance.

10. 爭議解決與管轄法律 / Dispute Resolution and Governing Law

本條款受 香港特別行政區 法律管轄，並按其解釋。
如因本條款產生任何爭議，雙方應先嘗試以友好協商解決；如協商不成，任何一方同意將爭議提交至 香港特別行政區具管轄權之法院專屬管轄。

These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
In the event of any dispute, parties shall first attempt friendly negotiation. If negotiation fails, the parties agree to submit the dispute to the courts of the Hong Kong Special Administrative Region with exclusive jurisdiction.

11. 完整協議 / Entire Agreement

本條款連同《私隱政策》及《授權說明與訂製服務條款》構成您與我們之間關於使用本網站之完整協議，並取代所有先前或同期之口頭或書面協議。

These Terms, together with the Privacy Policy and the License and Custom Service Terms, constitute the entire agreement between you and us regarding the use of the Website and supersede all prior or contemporaneous oral or written agreements.

11A. 可分割性與不放棄權利 / Severability & No Waiver（強化條款 / Strengthened Clause）

可分割性 / Severability

如本條款任何部分被視為無效或不可執行，其餘部分仍然完全有效。
If any provision is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

不放棄權利 / No Waiver

我們未行使或延遲行使任何權利，不構成放棄該權利。
Our failure or delay to exercise any right shall not operate as a waiver of that right.

11B. 語言版本 / Language

如中英文版本出現任何差異或歧義，以中文版本為準。
If there is any inconsistency between the Chinese and English versions, the Chinese version shall prevail.
